Panel Studio Terms of Service

These terms govern your use of Panel Studio, operated by Kronaxis Limited ("we", "us", "Kronaxis"), company number 15072850, registered in England and Wales.

By creating an account or using the Panel Studio API, you agree to these terms. If you do not agree, do not use the service.

1. The service

Panel Studio is a synthetic consumer panel research platform. It generates responses from AI-driven synthetic personas, not from real people. All persona data is computationally generated.

Panel Studio is provided as a software-as-a-service platform accessible at panel.kronaxis.co.uk and via the Panel Studio API.

We may update, modify, or discontinue features of the service at any time. We will provide reasonable notice of material changes.

2. Accounts

You must provide a valid email address and create a password to register. You are responsible for maintaining the security of your account credentials.

You must not share your account or API key with others. Each account is for a single user. If you need multiple users, contact us for a team arrangement.

You must notify us immediately at contact@kronaxis.co.uk if you suspect unauthorised access to your account.

We may suspend or terminate accounts that violate these terms, that are inactive for more than 12 months, or where required by law.

3. Subscription tiers and billing

Prices are exclusive of VAT where applicable. VAT will be added at the prevailing UK rate for UK customers.

Subscriptions are billed monthly or annually in advance via Stripe. You authorise us to charge your payment method on each billing date.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods.

We may change prices with 30 days' written notice. Price changes take effect at the start of your next billing period after the notice period.

If payment fails, we will attempt to charge your payment method up to three times over 7 days. If all attempts fail, your account will be downgraded to the Free tier.

4. Acceptable use

You may use Panel Studio for lawful market research, product development, academic research, policy testing, and other legitimate business purposes.

You must not use Panel Studio to:

• Generate content that is illegal, defamatory, threatening, or that incites violence or hatred
• Create deepfakes, impersonate real individuals, or generate content designed to deceive others into believing it was produced by real people, without clear disclosure that it is AI-generated
• Manipulate elections, public opinion, or democratic processes through the production of misleading synthetic research presented as genuine consumer opinion
• Circumvent technical limitations of your subscription tier, including rate limits, persona limits, or feature restrictions
• Reverse-engineer, decompile, or attempt to extract the source code, model weights, or algorithms underlying the service
• Resell, sublicence, or provide the service to third parties as a standalone product without our written consent (embedding Panel Studio functionality within your own product via the API is permitted)
• Submit stimuli that contain personal data of identifiable individuals without their consent
• Use the service in any way that violates applicable law, including data protection law, consumer protection law, or advertising standards

We reserve the right to suspend or terminate your account for violation of this section, with or without notice depending on the severity of the violation.

5. Intellectual property

Our IP. The Panel Studio platform, including its software, algorithms, models, documentation, and DYNAMICS-8 framework, is owned by Kronaxis Limited (or licensed to it). Nothing in these terms transfers ownership of our intellectual property to you.

Your content. You retain ownership of any content you submit to the service (stimuli, custom prompts, uploaded media). By submitting content, you grant us a non-exclusive, worldwide licence to process that content for the purpose of providing the service to you. This licence terminates when you delete the content or close your account.

Output ownership. Responses generated by synthetic personas in response to your stimuli are owned by you. You may use, publish, and commercialise these responses without restriction, subject to the attribution requirement below.

Attribution. If you publish research based on Panel Studio output, you must disclose that the responses were generated by AI-driven synthetic personas, not by real human respondents. Suggested citation format is provided in the platform.

Feedback. If you provide suggestions, feature requests, or other feedback about the service, we may use that feedback without restriction or compensation.

6. Data handling

Your data. Your account data (email, password hash, billing information) is processed in accordance with our Privacy Policy.

Research data. Panel configurations, conversation history, persona responses, and exported data are stored on Kronaxis-controlled infrastructure in the United Kingdom. We do not share your research data with other customers or third parties, except as required by law.

No training on your data. We do not use your stimuli, conversation data, or research output to train our AI models, unless you explicitly opt in to a data sharing programme.

Data export. You may export your data at any time in JSONL, CSV, or Parquet format using the export features or the API. On account closure, you will have 30 days to export your data before it is permanently deleted.

Data Processing Agreement. Enterprise customers requiring a DPA under GDPR Article 28 should contact us at contact@kronaxis.co.uk. Our standard DPA is available on request.

Sub-processors. Our sub-processors are: Stripe (payment processing) and Postmark (transactional email). A current list is available on request.

7. Service availability

We aim to provide Panel Studio with reasonable availability but do not guarantee uninterrupted service. We are not liable for downtime caused by:

• Scheduled maintenance (we will provide reasonable notice)
• Circumstances beyond our reasonable control (force majeure)
• Your internet connection, equipment, or software
• Third-party service outages (Stripe, cloud providers)

Enterprise customers may negotiate specific uptime commitments under a separate Service Level Agreement.

8. Limitation of liability

Synthetic data disclaimer. Panel Studio generates responses from AI-driven synthetic personas. These responses are simulations, not real consumer opinions. We make no warranty that synthetic persona responses will accurately predict real-world consumer behaviour, market outcomes, or public opinion. You are responsible for validating findings through appropriate methods before making business decisions.

Maximum liability. To the maximum extent permitted by law, our total liability to you for all claims arising from your use of the service is limited to the amount you have paid us in the 12 months preceding the claim.

Exclusions. We are not liable for indirect, consequential, incidental, or special damages, including lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages.

Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded by law.

9. Indemnification

You agree to indemnify and hold harmless Kronaxis Limited, its directors, and agents from any claims, damages, or expenses arising from: your violation of these terms; your violation of applicable law; content you submit to the service; or your use of service output in a way that causes harm to third parties.

10. Termination

By you. You may close your account at any time by contacting contact@kronaxis.co.uk or using the account settings page. Cancellation of a paid subscription takes effect at the end of the current billing period.

By us. We may terminate your account immediately if you materially breach these terms (including the acceptable use provisions in Section 4). We may terminate for convenience with 30 days' written notice.

Effect of termination. On termination, your access to the service ceases. You have 30 days to export your data. After 30 days, we will permanently delete your account data, panels, conversations, and persona configurations.

Survival. Sections 5 (Intellectual Property), 8 (Limitation of Liability), 9 (Indemnification), and 12 (Governing Law) survive termination.

11. Changes to terms

We may update these terms from time to time. We will notify you of material changes by email or by a prominent notice in the service at least 30 days before the changes take effect.

Your continued use of the service after the effective date of updated terms constitutes acceptance. If you do not agree to the updated terms, you must stop using the service and close your account.

12. Governing law and disputes

These terms are governed by the laws of England and Wales.

Any dispute arising from these terms or your use of the service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Nothing in these terms affects your statutory rights as a consumer (where applicable).
